This Terms of Service Agreement ("Agreement") describes the terms and conditions under which EveryNeed Logistics Pvt. Ltd., a company incorporated under the Companies Act, 2013 and established in 2025, with its registered office in Bengaluru, Karnataka, India, (hereinafter referred to as "En1 Loads", "Company", "we", "our", or "us") provides access to its mobile application and associated digital platform (collectively referred to as the "En1 Loads Platform").

By downloading, registering, or using the En1 Loads mobile application ("App"), you ("User", "Carrier", "Shipper", or "Customer") agree to be bound by this Agreement. If you do not agree with these terms, please refrain from using the Platform.

1. DEFINITIONS

  • Platform: En1 Loads mobile application and all associated software, content, and services.
  • Carrier: Individual or company owning or operating trucks registered on the Platform to provide transportation services.
  • Shipper: Any person, business, or entity posting load requirements for transportation through the Platform.
  • Order or Load: Booking request made by a Shipper for the transportation of goods.
  • Trip: Accepted and ongoing transportation assignment between a Shipper and Carrier.
  • Services: Facilitation of digital connection between Shippers and Carriers for load bookings, tracking, documentation, and related logistics features.

2. ELIGIBILITY

To use the En1 Loads Platform, you must:

  • Be at least 18 years of age;
  • Possess a valid business registration or KYC documentation as required;
  • Have legal authority to enter into binding contracts;
  • Comply with all applicable laws and regulations related to goods transportation in India.

En1 Loads reserves the right to verify user identity and documentation at any time and may suspend access if fraudulent or misleading information is detected.

3. NATURE OF SERVICES

  • En1 Loads is a digital logistics technology platform connecting carriers and shippers in India's trucking industry.
  • We act solely as an intermediary between Shippers and Carriers.
  • En1 Loads does not own trucks, employ drivers, or provide transportation directly.
  • The agreement for goods transportation is between the Shipper and the Carrier.
  • En1 Loads shall not be liable for the quality, timeliness, safety, or completion of transportation services.
  • The Platform provides:
    • Verified Carrier onboarding and KYC verification
    • Load posting, matching, and acceptance
    • Real-time GPS tracking
    • Digital documentation (e-LR, e-POD)
    • Payment tracking and transaction records

4. USER OBLIGATIONS

For Shippers:

  • Provide accurate pickup, drop, cargo, and schedule details.
  • Ensure the goods transported are lawful and permitted under applicable transport regulations.
  • Not post hazardous, illegal, or restricted materials.
  • Make timely payments as per the agreed terms.

For Carriers:

  • Upload valid documents including RC, insurance, permit, and driver's license.
  • Ensure vehicle compliance with all statutory and safety requirements.
  • Maintain punctuality and professionalism during all trips.
  • Not subcontract or transfer assigned loads without consent.

Both user types agree not to misuse the Platform, engage in fraudulent transactions, or manipulate ratings or pricing.

5. BOOKINGS, CANCELLATION & REFUNDS

5.1 Load Posting & Acceptance

Shippers can post load requirements with details such as:

  • Pickup & drop locations
  • Cargo type, weight, and vehicle preference
  • Expected date and time

Carriers can browse and accept available loads through the En1 Loads App. Once accepted, the trip is confirmed and tracked digitally.

5.2 Cancellations

  • A Shipper may cancel a load before a Carrier accepts it without penalty.
  • If cancellation occurs after acceptance, halting and travel compensation may apply depending on distance traveled to pickup point and waiting time.
  • Carriers who repeatedly cancel confirmed loads may face account suspension.

5.3 Refunds

  • If a confirmed booking cannot be serviced due to non-availability of a vehicle or system error, the Shipper will receive a full refund of the booking amount.
  • Refunds will be processed within 7–14 working days to the original payment method.
  • En1 Loads reserves the right to adjust or withhold refunds in case of disputes, damages, or violation of policy.

6. PAYMENTS

  • Payment terms will be defined for each trip as per mutual agreement between Shipper and Carrier.
  • En1 Loads may facilitate payments using third-party gateways or offline settlement mechanisms.
  • Any applicable taxes, TDS, or GST deductions shall comply with Indian law.
  • En1 Loads may charge a service fee or commission for facilitating transactions, which will be disclosed before payment.
  • If payments are handled through the Platform in the future, such transactions will comply with The Payment and Settlement Systems Act, 2007, and RBI guidelines.

7. DOCUMENTATION

Carriers and Shippers must maintain valid documentation including:

  • Lorry Receipt (LR) / Consignment Note
  • Proof of Delivery (POD)
  • Vehicle & Driver ID verification

En1 Loads supports digital versions of these documents. The parties remain responsible for the accuracy of uploaded data.

8. INSURANCE & LIABILITY

  • En1 Loads does not provide cargo insurance.
  • Shippers and Carriers are solely responsible for obtaining their own insurance coverage.
  • En1 Loads shall not be liable for:
    • Loss, damage, theft, or delay of goods
    • Vehicle breakdowns or accidents
    • Third-party claims or penalties
  • Our total liability, in any case, shall not exceed INR 10,000 or 10% of the freight amount, whichever is lower.

9. DATA PRIVACY & CONFIDENTIALITY

User data, including GPS location, contact details, and documents, is collected and processed in accordance with our Privacy Policy.

Users must not misuse or disclose any proprietary or confidential information obtained through the Platform.

10. INTELLECTUAL PROPERTY

All trademarks, app designs, content, and software on the En1 Loads Platform belong exclusively to EveryNeed Logistics Pvt. Ltd.

Users may not copy, reverse-engineer, or distribute any portion of the Platform without written consent.

11. INDEMNIFICATION

Users agree to indemnify and hold harmless EveryNeed Logistics Pvt. Ltd., its directors, employees, and affiliates from any claims, damages, losses, or liabilities arising from:

  • Misuse of the Platform;
  • Breach of this Agreement;
  • Violation of any law or third-party rights.

12. LIMITATION OF LIABILITY

In no event shall En1 Loads be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption.

Our liability shall be limited as per Clause 8.

13. DISPUTE RESOLUTION

Any dispute or claim arising out of or relating to this Agreement shall be settled by arbitration in Bengaluru, under the Arbitration and Conciliation Act, 1996, in the English language.

The decision of the sole arbitrator shall be final and binding.

The courts of Bengaluru, Karnataka shall have exclusive jurisdiction.

14. MODIFICATIONS

En1 Loads reserves the right to modify or update these Terms at any time. Updated versions will be posted on the App and will take effect upon publication.
